Share structure and ownership

TORM’s issued share capital is USD 848,685.43 and comprises 84,868,541 A shares of USD 0.01 each, one B share of USD 0.01 and one C share of USD 0.01.

The C-share is held by OCM Njord Holdings S.à r.l. (Oaktree), and the B-share is held by the Minority Trustee, SFM Trustees Limited, on behalf of TORM’s non-Oaktree shareholders. The B-share and the C-share have certain voting rights.

As of January 2021, TORM elected Denmark as home state for the purposes of the EU Transparency Directive. TORM's major shareholder reporting thresholds are the crossing of 5%, 10%, 15%, 20%, 25%, 33.3% 50%, 66.6% and 90% ownership share of the voting rights or nominal value of the total share capital.
